Overview
The Consultancy Project Agreement Package is an innovative solution to the off-payroll legislation for consultancies engaging limited company contractors to assist with projects for their clients' benefit. Given that agencies are liable after April 2021 for tax deductions where the off-payroll legislation applies, this traditional procurement method will quickly evolve. Don't get left behind.
The Consultancy Project Agreement package consists of four parts:
- An agreement between the individual limited company contractor and consultancy providing maximum protection for all IR35 issues;
- An agreement between the consultancy and client containing mirroring provisions and commercial protection for the consultancy;
- An assignment schedule for the client setting out details of the overall project;
- An assignment schedule for the limited company contractor containing a definition of the services to be provided as part of the overall project.
A consultancy providing a wholly outsourced service to its client, whether IT or otherwise, is within the scope of the off-payroll legislation and is responsible for taking reasonable care in relation to status determination statements unless the small companies exemption applies. If the small companies exemption applies, responsibility for assessing IR35 status remains with limited company contractors engaged by a consultancy. IR35 Shield can help in either case.
